Terms of Service

1. Purpose and Scope

This Terms of Service ("Agreement") governs the provision of services by NIST Assist LLC and Readypool Technical Services DBA NIST Assist ("NIST Assist," "we," "our," or "us") to customers ("Client," "you," or "your"). This Agreement augments the Microsoft Customer Agreement (MCA) and applies to all services provided under the Microsoft Cloud Solution Provider (CSP) program. It does not override or replace any terms in the MCA.

 

By engaging NIST Assist for services, you agree to these terms.

2. Relationship to Microsoft Customer Agreement
  • This Agreement supplements the MCA and aligns with Microsoft CSP Program requirements.

  • NIST Assist acts as a Cloud Solution Provider (CSPO) and reseller of Microsoft products and services.

  • Customers must establish and maintain a Digital Partnership of Record (DPOR) to transact with Licenses and selected Services.

  • All Microsoft licensing terms, product use rights, and service-level agreements remain governed by the MCA.

3. Services Provided
  • Managed IT Services, Compliance Consulting, and Microsoft 365 Licensing.

  • Support and advisory services as outlined in proposals or statements of work.

4. Customer Responsibilities
  • Maintain compliance with all applicable laws and regulations.

  • Provide accurate information and timely cooperation for service delivery.

  • Ensure backups and data protection measures are in place.

5. Payment Terms
  • Invoices are due upon receipt unless otherwise stated.

  • Late Fees:

    • 1% of the outstanding balance after 7 calendar days past due.

    • 5% of the outstanding balance after 30 calendar days past due.

  • NIST Assist reserves the right to suspend services for accounts more than 30 days overdue.

6. Limitation of Liability
  • NIST Assist is not responsible for:

    • Loss of productivity, revenue, or business opportunities.

    • Loss or corruption of data.

    • Indirect, incidental, or consequential damages.

  • Our total liability for any claim shall not exceed the amount paid for the specific service giving rise to the claim.

7. Indemnification

You agree to indemnify and hold harmless NIST Assist from any claims, damages, or expenses arising from:

  • Your breach of this Agreement.

  • Your misuse of services or violation of law.

8. Service Availability and Support
  • Services are provided on a best-effort basis.

  • Scheduled maintenance and outages will be communicated in advance when possible.

9. Termination
  • Either party may terminate this Agreement with 30 days’ written notice.

  • Termination does not relieve you of payment obligations for services rendered.

10. Governing Law

This Agreement shall be governed by the laws of the State of Texas.

11. Entire Agreement

This Agreement, together with the MCA, constitutes the entire understanding between the parties.

NIST Assist LLC and Readypool Technical Services DBA NIST Assist, reserves the right to update these Terms of Service at any time. Updates will be posted on our official website.

NIST Assist Privacy Statement

1. Introduction

  • Data may be shared with trusted third parties (e.g., Microsoft) solely for service delivery.

  • Transfers comply with applicable laws and contractual obligations.

6. Security Measures

We implement administrative, technical, and physical safeguards to protect data, including:

  • Multi-Factor Authentication (MFA) for administrative access.

  • Encryption for data in transit and at rest.

  • Regular security audits aligned with Microsoft CSP requirements.

7. Your Rights

You may:

  • Request access to your data.

  • Correct inaccuracies.

  • Opt out of non-essential communications. Contact us at privacy@nistassist.com for assistance.

8. Cookies and Tracking

Our website uses cookies for functionality and analytics. You can manage preferences through your browser settings.

9. Compliance

We adhere to:

  • Microsoft CSP Program standards with NIST 800-171 Baseline applied.

  • Applicable privacy laws (GDPR, CCPA, etc.).

  • Industry best practices for Managed Service Providers (Compliance with MPN requirements).
